Terms of Service - BlockNVX

1. Acceptance of Terms

By accessing or using BlockNVX services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

BlockNVX provides blockchain analytics, transaction monitoring, risk scoring, compliance automation, and investigation tools for institutional customers. Our Services include access to our platform, APIs, documentation, and support.

3. Account Registration

To access the Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree not to:

Use the Services for any unlawful purpose
Attempt to gain unauthorized access to any part of the Services
Reverse engineer, decompile, or disassemble the Services
Share account credentials with unauthorized parties
Use the Services to facilitate money laundering or terrorist financing
Exceed rate limits or abuse API access
Resell or redistribute the Services without authorization

5. Intellectual Property

The Services, including all software, algorithms, data models, documentation, and trademarks, are owned by BlockNVX and protected by intellectual property laws. Your subscription grants a limited, non-exclusive license to use the Services during the subscription term.

6. Data Processing

Our processing of customer data is governed by our Data Processing Agreement (DPA), which is incorporated by reference. Blockchain data processed by our platform is publicly available information analyzed through our proprietary methods.

7. Service Level Agreement

BlockNVX commits to 99.9% uptime for Professional and Enterprise plans. Specific SLA terms, including remedies for downtime, are detailed in your subscription agreement.

8. Fees and Payment

Fees are as specified in your subscription agreement. All fees are non-refundable except as expressly stated. We may adjust pricing with 60 days' written notice before your next renewal period.

9. Limitation of Liability

To the maximum extent permitted by law, BlockNVX's total liability shall not exceed the fees paid by you in the twelve months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

10. Termination

Either party may terminate the agreement with 30 days' written notice. BlockNVX may suspend access immediately for material breach, non-payment, or violation of acceptable use policies.

11. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the courts of New York County, New York.
